This page represents a legal document and is the Terms and Conditions (Agreement) for our Website, www.outpost.health and our Web and Mobile Applications, collectively and hereinafter called “Platform.”

Definitions
The terms “us”, “we”, and “our” refer to our company Outpost Healthcare Corporation, the owner of the Platform. A “Visitor” is someone who merely browses our Platform. A “Member” is someone who has registered with us to use our Platform. The term “User” is a collective identifier that refers to either a Visitor or a Member. 

All text, information, graphics, design, and data offered through our Platform, whether produced by our Members or by us, are collectively known as our “Content”. We distinguish content posted by our Members as “Member Content”. 

Acceptance of Agreement
This Agreement is between you and Outpost Healthcare Corporation. 

THIS AGREEMENT CONTAINS WARRANTY DISCLAIMERS AND OTHER PROVISIONS THAT LIMIT OUR LIABILITY TO YOU. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND IN THEIR ENTIRETY, AS USING, ACCESSING, AND/OR BROWSING OUR PLATFORM CONSTITUTES ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO BE BOUND TO EACH AND EVERY TERM AND CONDITION SET FORTH HEREIN, PLEASE EXIT OUR PLATFORM IMMEDIATELY AND DO NOT USE THEM ANY FURTHER.

Except as otherwise noted, this Agreement constitutes the entire and only Agreement between you and Outpost Healthcare Corporation and supersedes all other Agreements, representations, warranties, and understandings with respect to our Platform, and the subject matter contained herein. However, for you to use our Platform, you may also be required to agree to additional terms and conditions. Those additional terms and conditions will be incorporated into this Agreement unless otherwise stated.

Arbitration 
Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be determined by arbitration administered by ICDR Canada in accordance with its Canadian Arbitration Rules. The place of arbitration shall be Regina, Saskatchewan in Canada. The language of the arbitration shall be English. The number of arbitrators shall be three. 

Choice of Law 
This Agreement will be governed by and construed in accordance with the laws of Saskatchewan Canada, without regard to conflict of law principles. In addition, you agree to submit to the personal jurisdiction and venue of such courts. Any cause of action by you with respect to our Website or Service must be instituted within one (1) year after the cause of action arose or be forever waived and barred. 

Limited License
Outpost Healthcare Corporation grants you a nonexclusive, non-transferable, revocable license to access and use our Platform strictly in accordance with this Agreement. Your use of our Platform is solely for internal, personal, noncommercial purposes unless otherwise provided for in this Agreement. No printout or electronic version of any part of our Platform may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

Legal Compliance
You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of our Platform, and any software provided therein.

Our Relationship to You
This Agreement in no way creates any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and Outpost Healthcare Corporation.

Our Intellectual Property
Our Platform may contain our service marks or trademarks as well as those of our affiliates or other companies in the form of words, graphics, and logos. Your use of our Platform does not constitute any right or license for you to use our service marks or trademarks without the prior written permission of Outpost Healthcare Corporation. Our Content, as found within our Platform, is protected under Canadian, United States and foreign copyrights. The copying, redistribution, use, or publication by you of any such Content is strictly prohibited. Your use of our Platform does not grant you any ownership rights to our Content.

Eligibility and Registration for Membership
To use our Platform, it is mandatory that you register a Member account with us. You are legally responsible for ensuring that you use the Platform in compliance with all Terms and Conditions of Use herein contained. The Platform utilizes tools for geolocation. Permitted Use of the Platform in the jurisdiction where you are located at the time of a Consultation, is subject to the legal permissions and regulations of that jurisdiction. Any Use not permitted by the laws or regulations applicable where you are located at the time of a Consultation, constitutes a violation of the Terms and conditions for the Platform, and will result in immediate termination of the Member account. You agree to enable and authorize our geolocation services in the Platform in order for Outpost Healthcare Corporation to provide care and full compliance with local laws and regulations.  As part of the registration process you may be required to provide us with personally identifiable information such as: biographic information, insurance information, banking and payment information in addition to other types of information necessary for us to create your user/member account. You may update or change your Account settings at any time. 

Your Membership is not transferable or assignable and is void where prohibited. Our Platform is intended solely for Users who are at least (16) years of age or older. Any registration by, use of, or access to our Platform by anyone under that age is unauthorized, unlicensed, and in violation of these Terms and Conditions. By using our Platform, you represent and warrant that you are (16) years of age or older and agree to abide by all the terms and conditions of this Agreement. Outpost Healthcare Corporation has sole right and discretion to determine whether to accept a Member, and may reject a Member’s registration with or without explanation.

When you complete the registration process, you will create a username and password of your choice, that will allow you to access our Platform. You agree to maintain the confidentiality of your password and are fully responsible for all liability and damages resulting from your failure to maintain that confidentiality as well as all activities that occur through the use of your password. You agree to immediately notify us of any unauthorized use of your password or any other breach of security. You agree that our Platform cannot and will not be liable for any loss or damage arising from your failure to comply with password security as discussed herein.

Dependants and Minors 
A child aged less than 15 (a “Minor”) or any individual who lacks the necessary capacity to give valid consent to his or her Medical care and use of the Platform (each being a “dependant”) is not permitted to register for an Account on the Outpost Healthcare Corporation Platform. A dependant may receive Services via the Platform through their parent’s/legal guardian/power of attorney’s Account, provided that the parent/legal guardian/power of attorney is with/or has provided verbal or written consent for the dependant when the dependant is using the Account. If you use your Outpost Health Platform Account to obtain Healthcare Services for your dependant, you are legally responsible for complying with all the Terms and conditions of use.

Our Health Providers (Physicians, Nurses, Counsellor, Dieticians, Psychologists, Pharmacists, or other allied Healthcare Providers) reserve the right to assess whether a person has the capacity to provide consent to his or her medical care. If or whenever a determination is made by a Healthcare Provider that a User fits the definition of a dependant, then that dependant’s legal guardian, parent or power of attorney will be responsible to comply with all terms and conditions listed in this agreement for the purpose of receiving Services from Outpost Healthcare Corporation. 

Outpost Healthcare allows you to utilize the platform in multiple ways, including: 
A. Storage of Information (including Personal Health Information created and uploaded by either the User, Providers, or Administrative staff of Outpost Healthcare Corporation. This information may also be created in the course of providing routine or preventative Healthcare Services. This information may be shared with all authorized Providers.

B. Electronic Transmission of documents including but not limited to consultation notes, referrals, work excuse forms, prescriptions, laboratory requisitions and reports, imaging requisitions and reports, and other documents. The transmission of such documents may be performed automatically on your behalf to facilitate your care. 

C. Email internally using Outpost’s email mechanism.

Healthcare Service Providers
Healthcare Services on the Outpost Healthcare Platform are provided by qualified, independently contracted, licensed Healthcare Providers. All Healthcare Providers on the Platform are permitted to practice in their jurisdictions by their local regulatory authorities. Outpost Healthcare Corporation provides a Digital Health Software Platform that connects Healthcare Providers and Users. The Healthcare Providers that offer services through the Outpost Health Platform, are solely responsible for the Services provided. These Services include but are not limited to; medical diagnoses, treatment recommendations, coaching and other similar and related health Services. Outpost Healthcare Corporation does not interfere with nor supervise the Healthcare Providers in the delivery of these Services. Neither Outpost Healthcare Corporation nor any of its affiliated partners/companies shall be held liable for any healthcare Services provided by a healthcare provider. 

Telemedicine or Virtual Care Consultations
The World Health Organization (WHO) refers to Telemedicine as “healing from a distance”. Telemedicine refers to the use of telecommunications, technology and information technologies to provide remote clinical services to patients. Healthcare Providers use telemedicine for the transmission of digital imaging, video consultations, remote medical diagnosis and management along with delivering educational programs. 

The Outpost Healthcare Platform allows you to access healthcare services from licensed healthcare providers  through a telemedicine or virtual care consultation. 

During a telemedicine or virtual care Consultation on the Outpost Healthcare Platform, you and the Healthcare Provider will discuss your medical history along with your symptoms (if any) and diagnostic tests that you may require. The Healthcare Provider may then use the information uploaded or generated during the consultation, to assess your condition. Laboratory tests or other diagnostic studies may be requested by your Provider. Prescriptions, remedies, and other therapies, may be recommended. The

Outpost Healthcare Platform is not intended to replace your existing healthcare providers. Do not use the Platform for medical or health emergencies. If you believe you have a life-threatening condition or medical emergency, you must immediately seek access to local  emergency services. 

The quality of your telemedicine consultation may be affected by the quality of available telecommunications infrastructure. This may be dependent on broadband infrastructure and bandwidth capability of the local network.  Consultations are susceptible to signal degradation or loss of connection. During telemedicine consultations messaging  and data rates may apply from your local telecommunications provider.

You agree to cover the costs for messaging and data.Outpost Healthcare Corporation strives to protect all communications and data during the telemedicine consultation by using the best available breach protection technologies. This means that although we protect your personal information and personal health information through a combination of the highest standards of physical, technological and administrative methods, we do not guarantee our platform against data breaches, which may result in the unauthorized collection, use and/or disclosure of your personal health information.The submission, posting, transmission, uploading, discussion, or review of your medical records including but not limited to health information, medical conditions, symptoms, files, pictures, videos, or any other related documents to the Outpost Healthcare Platform is done voluntarily.

Clinical Trials
Outpost Healthcare does not conduct clinical trials. Our software platform connects you to research organizations or companies conducting clinical trials. If you are interested in participating in a study that appears on our clinical research study platform, pursuant to the General Data Protection Regulation (GDPR) , you are requested to consent to the process by which Outpost Healthcare collects and processes  your personal data for purposes of recruitment for the relevant and appropriate research study. These opt-in requests may be presented as email responses, notifications, modals, checkboxes, or other digital mechanisms, under which you will have the opportunity to affirmatively indicate your consent to the processing of your personal data as described in our Privacy and Terms of Use  document.

Errors, Corrections, and Changes
We do not represent or otherwise warrant that our Platform will be error-free or free from viruses or other harmful components, or that we will correct any errors. We do not represent or otherwise warrant that the information available on or through our Platform will be correct, accurate, timely, or otherwise reliable. Outpost Healthcare Corporation reserves the right at our sole discretion to change any content, software, and other items used or contained in our Platform at any time without notice. 

Disclaimer
Our Platform may publish content supplied by third parties, Users, advertisers, merchants, and sponsors. Outpost Healthcare Corporation has no editorial control over such third-party content. Any opinions or other information or content expressed or made available by third parties, including information generated by Providers and Users of our Platform, are those of the respective author(s) and not of Outpost Healthcare Corporation. We do not guarantee the accuracy, completeness, merchantability, or fitness for any particular purpose nor the legality of any content provided by any of these parties.
You understand that we do not operate or control the products or services offered by third-party merchants, including Healthcare Providers and companies conducting clinical research trials. These merchants are responsible for all aspects of order processing, fulfillment, billing, and customer service. We are not a party to the transactions entered into between you and merchants. You agree that use of or purchase from such merchants is AT YOUR SOLE RISK AND WITHOUT WARRANTIES OF ANY KIND BY US. All rules, legal documents (including privacy policies), and operating procedures of merchants will apply to you while on any merchant websites. 

Our Courses, modules, quizzes and uploaded educational content. 
Outpost reserves the right to cancel, discontinue, or reschedule any course or quiz, and to modify any course content or quiz. Courses and quizzes offered on our platform are offered subject to the Disclaimers and Limitation of Liability statements made in this Terms of Use document. 

Academic Credit for Healthcare providers.
Outpost Healthcare does not purport to be an educational institution and thus does not provide academic credits for courses taken on the Outpost platform. You agree not to request academic credit for completing a course on the platform. Outpost, the course instructors, course moderators, administrative staff, and any associated participating institutions have no obligation to have a course recognized by any medical, scientific, educational institution or accreditation organization.

Disclaimer of a Student-Academic institution Relationship
By consenting to Outpost Healthcare Terms and conditions, you are agreeing that utilizing the Outpost healthcare platform does not establish any relationship between you and any educational institution with which Outpost may be affiliated, and does not claim to register you at such an  educational institution, or in any additional course offered by any educational institution. Utilizing the Outpost healthcare platform does not entitle you to represent yourself as an affiliate, student, staff, or member of the alumni, neither does it allow for the use of resources of said academic institution.

Warranty Disclaimer 
Outpost Healthcare Corporation is not responsible or liable in any manner for any Content posted on our Platform, whether posted or caused by Members of our Platform, or by Outpost Healthcare Corporation. Although we provide rules for Member conduct and postings, we do not control and are not responsible for what Members post, transmit, or share on our Platform, and are not responsible for any offensive, inappropriate, obscene, unlawful, or otherwise objectionable content you may encounter using our Platform. Outpost Healthcare Corporation is not responsible for the online or offline conduct of any User of our Platform. Our Platform may be temporarily unavailable from time to time for maintenance or other reasons. Outpost Healthcare Corporation assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to, or alteration of Member communications.  

Outpost Healthcare Corporation is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, data charges and fees associated with accessing and using the platform, or for any failure of email on account of technical problems or traffic congestion on the Internet, or for any combination thereof – including injury or damage to Members’ or any other person’s computer, mobile phone, or other hardware or software – related to or resulting from the use or downloading of materials in connection with our  Platform, including, without limitation, any software provided through our Platform. Under no circumstances will Outpost Healthcare Corporation be responsible for any loss or damage, including any loss or damage, personal injury, or death resulting from anyone’s use of our Platform, or any interactions between Users of our Platform, whether online or offline. Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, recommendation, or any affiliation with our Platform by third parties or by any of the equipment or programming associated with or utilized by our Platform.

THE INFORMATION, CONTENT, AND DOCUMENTS FROM OR THROUGH OUR PLATFORM ARE PROVIDED ‘AS-IS’, ‘AS AVAILABLE’, WITH ‘ALL FAULTS’, AND ALL EXPRESS OR IMPLIED WARRANTIES ARE DISCLAIMED (INCLUDING, BUT NOT LIMITED TO, THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). OUR PLATFORM MAY CONTAIN BUGS, ERRORS, PROBLEMS, OR OTHER LIMITATIONS.

OUTPOST HEALTHCARE CORPORATION, INCLUDING ALL OUR AFFILIATES, HAS NO LIABILITY WHATSOEVER FOR YOUR USE OF OUR PLATFORM. OUTPOST HEALTHCARE CORPORATION CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM THE USE OF OUR PLATFORM, INCLUDING, BUT NOT LIMITED TO, RELATED SOFTWARE. OUTPOST HEALTHCARE CORPORATION DOES NOT REPRESENT OR WARRANT THAT OUR CONTENT, PLATFORM, OR ANY SOFTWARE FOUND WITHIN ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THEREFORE, YOU SHOULD EXERCISE CAUTION IN THE USE AND DOWNLOADING OF ANY SUCH CONTENT OR SOFTWARE AND USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND REMOVE VIRUSES. OUR PLATFORM WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH OUR PLATFORM WILL CREATE ANY WARRANTY, REPRESENTATION, OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT. 

Limitation of Liability
IN NO EVENT WILL OUTPOST HEALTHCARE CORPORATION OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF OUR PLATFORM, OR ANY RELATED SOFTWARE ACCESSED THROUGH OR DOWNLOADED FROM OUR PLATFORM, EVEN IF OUTPOST HEALTHCARE CORPORATION IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUTPOST HEALTHCARE CORPORATION'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR SERVICES ACCESSED DURING THE PREVIOUS MONTH OF YOUR MEMBERSHIP PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

Member Conduct
Members may post their content through our Platform (Member Content). Members and Visitors understand that by using our Platform, they may be exposed to content that is offensive, indecent, or objectionable. We have no control over Member Content and do not in any way guarantee its quality, accuracy, or integrity. Outpost Healthcare Corporation is not responsible for the monitoring or filtering of any Member Content. Should any Member Content be found illegal, Outpost Healthcare Corporation will submit all necessary information to relevant authorities.If any Member Content is reported to Outpost Healthcare Corporation as being offensive or inappropriate, we may ask the Member to retract or otherwise modify the questionable content within 24 hours of being notified by Outpost Healthcare Corporation. If the Member fails to meet such a request, Outpost Healthcare Corporation  has full authority to restrict the Member’s ability to post Member Content or to immediately terminate the Member’s membership without further notice to the Member.  Without limiting the foregoing, we have sole discretion to remove any Member Content that violates this Agreement or that is otherwise objectionable in our sole discretion. Members are responsible for complying with all applicable federal, provincial and state laws for their content, including copyright and trademark laws. Members will respect copyright and trademark laws. You warrant that you will not use our Platform to infringe on the intellectual property rights of others in any way. In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, we have adopted a policy of terminating Members whom we deem, in our sole discretion, to be infringers of others’ intellectual property rights.

As a Member, you agree not to use our Platform to do any of the following:
Upload, post, or otherwise transmit any Member Content that:Violates any local, state, federal, provincial,  or international lawsInfringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any partyHarms, threatens, defames, promotes violence or illegal activities, or is otherwise vulgar, obscene, abusive, harassing, tortuous, libelous, invasive of another’s privacy, hateful, or racially, ethically, or otherwise objectionableLinks directly or indirectly to any materials to which you do not have a right to linkContains any private information of any third-party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers, and credit card numbersContains software viruses or any other computer code, files, or programs designed to modify, interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, or to extract information from our PlatformContains any unsolicited or unauthorized advertising, solicitations, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitationIn the sole judgment of Outpost Healthcare Corporation  is objectionable or restricts or inhibits any other person from using or enjoying our Platform, or which may expose Outpost Healthcare Corporation, our Staff and employees, our affiliates, or our Users to any harm or liability of any type

Use our Content to:
Develop competing PlatformsCreate compilations or derivative works as defined under United States copyright lawsRedistribute it in any manner, including, but not limited to, sale, license, lease, rental, subscription, or any other distribution mechanismDecompile, disassemble, or reverse engineer our Platform, and any related software 

Use of Information
You grant Outpost Healthcare Corporation  a license to use the information and materials you post to our Platform. By posting, displaying, transmitting, performing, or otherwise distributing information or other content (“Member Content”) to our Platform, you are granting Outpost Healthcare Corporation , its officers, directors, employees, agents, consultants, representatives, and affiliates, a license to use the Member Content in connection with the operation of the business of Outpost Healthcare Corporation, its directors, employees, officers, affiliates, representatives, consultants, and agents, including, without limitation, a right to distribute, copy, transmit, publicly display, reproduce, translate, edit, and reformat Member Content. You understand and agree that you will not be compensated for any Member Content. By posting Member Content on our Platform, you warrant and represent that you own the rights to the Member Content or are authorized to post, display, distribute, perform, or transmit Member Content.

Consent to Receive Calls and Text Messages
By providing your mobile number to Outpost Healthcare Corporation, you are agreeing to be contacted by or on behalf of Outpost Healthcare Corporation at the mobile or telephone  number provided, including calls and text messages, to receive product or service updates, surveys, clinical trials information, pharmacy related services, and marketing information related to Outpost Healthcare Corporation or its affiliates and partners. You have the right to opt out of receiving calls, or text messages from Outpost Healthcare Corporation.If you choose to  stop receiving text messages or phone calls  from us, Outpost Healthcare Corporation can not guarantee that you have received important information about your Healthcare.Unlawful ActivityWe reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including, but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

Linking to Our Platform
You may provide links to our Platform provided that (a) you do not remove or obscure any portion of our Platform by framing or otherwise, (b) your services do not engage in illegal or pornographic activities, and (c) you cease providing links to our Platform immediately upon our request.

Links to Other Websites
Our Platform may from time to time contain links to third-party websites. Inclusion of links for any website on our Platform does not mean that we endorse, guarantee, warrant, or recommend the services, information, content, and/or data of such third-party websites.

Payments
You represent and warrant that if you are purchasing something from us, (i) any payment information you supply is true and complete, (ii) charges incurred by you will be honored by your bank or credit card company, (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes, and (iv) if your initial payment method is dishonored, you will still pay the incurred charges, including any surcharge we may incur due to the dishonored payment.

Payment and Refund Management

YOU AGREE AS A MEMBER OF THE OUTPOST HEALTHCARE PLATFORM THAT YOU WILL PAY OUTPOST  HEALTHCARE PROFESSIONALS OR OUTPOST HEALTHCARE PLATFORM FOR A CONSULTATION OR USE OF THE PLATFORM THROUGH OUTPOST HEALTHCARE’S PLATFORM AND AFFILIATES AND PARTNERS AND THAT YOU WILL NOT PAY ANY HEALTHCARE PROFESSIONAL DIRECTLY OR INDIRECTLY FOR A CONSULTATION. ALL PAYMENTS MUST BE MADE THROUGH OUTPOST HEALTHCARE CORPORATION AND AFFILIATES OR PARTNERS.

You also agree as a Member and individual that you will not attempt to communicate; verbally, written, or electronically with any Outpost Healthcare employee or Healthcare Professional through any means other than the Platform.

Termination of Membership
Your membership with us is effective until terminated by you or us. Your rights under these Terms and Conditions will terminate without our notice if you fail to comply with any term of these Terms and Conditions. Upon termination, you will stop representing yourself as a registered Member. You must delete or destroy any information or content (including all copies) obtained from our Platform. Certain provisions of this Agreement, including, but not limited to, copyrights, indemnity, trademarks, limitation of liability, warranty, and jurisdictional issues will survive the termination of this Agreement.

Indemnification
You agree to indemnify, defend, and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates free from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of our Platform. 

Severability and Survival
Should any part of this Agreement be held invalid or unenforceable, that portion will be construed consistent with applicable law and the remaining portions will remain in full force and effect. To the extent that any Content is in conflict or inconsistent with this Agreement, this Agreement will take precedence. Our failure to enforce any provision of this Agreement will not be deemed a waiver of such a provision, nor of the right to enforce such a provision. Our rights under this Agreement will survive any termination of this Agreement.

Changes to Our Terms and Conditions
We reserve the right to change these Terms and Conditions at any time by giving you advance notice of the changes by email or in writing. We will also post these changes on our Platform and website. These changes will become effective 30 days after receipt of the notice. To avoid doubt, no unilateral amendment will retroactively change agreed dispute-resolution provisions of these Terms and Conditions, if any, including, for example, arbitration provisions for then-pending disputes unless the parties expressly agree otherwise. Your continued use of our Platform after any change to these Terms and Conditions and our notifying you will constitute your acceptance of such change. If you do not agree with the changes to these Terms and Conditions, you can choose to discontinue the use of our Platform.
